If the problem with (2) persist, you can try doing the following:
1. Open Tools\Customize dialog
2. Open Toolbars tab
3. Locate "Context Menus" pseudo-toolbar and check the box near it. You will see toolbar representing context menus.
4. Expand "Editor Context Menus", locate Refactor menu you don't need and drag'n'drop it out of menu.
Develop with pleasure!

Many thanks again, Illya. Interesting that exporting the VS Key bindings will take Resharper shortcuts into account, and that the colors can be configured from VS options as well. Definitely need to check that out.
Regarding (2), I *do* have that option checked, and even so I get the two Refactor menus in the context menu, so there might be something causing conflicts. I'll try disabling it and enabling it again and see if that makes any difference.

Thank you for feedback post, it is really interesting and useful to read people opinions. Let me help you once again :)
1. ReSharper color settings are configurable in VS Fonts & Colors options. There is all you need to match your color style, except may be hierarchy icons on the left bar. We will check the latter and fix the issue.
2. Once you use ReSharper's refactorings, you most likely do not need what VS offers. In the General category of ReSharper options put a check near "Replace Visual Studio menu items by respective ReSharper onces". Top level "Refactor" menu will not be changed, so in case you still need VS refactorings - you can get them.
3. ReSharper keybindings can be exported and imported using standard VS system - Tools\Import and Export Settings
Hope this helps you get more from ReSharper :)
